Terms and Conditions of Service

1.Enterprise Software Grant & Permitted Usage

Subject to these Terms and the applicable Master Services Agreement (MSA), Genovaxai Inc. grants your organization a non-exclusive, non-transferable, revocable license to deploy our neural inference containers and SDKs across designated camera streams, edge hardware nodes (such as NVIDIA Jetson Orin), or private cloud clusters.

Usage is licensed strictly for industrial operations, workplace safety monitoring, inventory tracking, physical security automation, and logistics optimization within your authorized operational perimeters.

2.Acceptable Use & Prohibited Activities

Your organization agrees not to engage in, or permit third parties to engage in:

• Reverse engineering, decompiling, or attempting to extract proprietary neural network weights, quantized TensorRT engine files, or fused CUDA kernels.
• Deploying the platform for unlawful biometric mass surveillance in violation of regional human rights or privacy legislation.
• Circumventing licensing caps, rate limits, or tampering with cryptographic telemetry ledgers.
• Reselling, sublicensing, or providing timeshared access to third parties without prior written partnership authorization.

3.API Authentication, Keys & Security Hygiene

Credentials, API keys, and container registry tokens issued via the Genovaxai Enterprise Console must remain confidential. Customer is solely responsible for maintaining key security within internal CI/CD pipelines and production edge hardware. Any suspected token breach must be reported to security@genovaxai.com within 24 hours for emergency rotation.

4.Intellectual Property Ownership

Genovaxai Technology: Genovaxai Inc. retains all right, title, and interest in and to the Genovaxai platform, including algorithms, model architectures (YOLOv10 customizations, ByteTrack adaptations), CUDA kernels, documentation, and all derivative works.

Customer Data: The customer retains full, exclusive ownership of all proprietary video feeds, optical footage, facility floorplans, business logic, and downstream business analytical reports generated by the software.

5.Service Level Agreement (SLA) & Support Commitments

For cloud-connected orchestration services and telemetry endpoints, Genovaxai commits to a 99.98% Service Availability Uptime SLA. In the event of an unplanned outage exceeding monthly thresholds, customers are entitled to service credits as stipulated in their executed Enterprise SLA rider. Edge nodes deployed in 100% air-gapped sovereign environments operate autonomously without reliance on external cloud uptime.

6.Third-Party Silicon & Trademark Notices

Genovaxai is an independent software enterprise. NVIDIA, CUDA, DeepStream, TensorRT, Triton, Jetson, and related marks are registered trademarks of NVIDIA Corporation. All technical references signify hardware architecture compatibility, validated compilation profiles, and planned acceleration runtimes, and do not constitute direct corporate endorsement.

7.Warranty Disclaimers & Limitation of Liability

While Genovaxai platforms achieve industry-leading multi-class detection accuracy (exceeding 99.4% precision under calibrated optical conditions), computer vision outputs represent probabilistic mathematical inferences. Customers must ensure automated safety triggers and machinery interlocks incorporate secondary physical hardware failsafes in accordance with OSHA, ISO 13849, and local industrial safety codes.

8.Governing Law & Legal Counsel Contact

These Terms shall be governed by and construed in accordance with the laws of the State of California for North American clients and the laws of India for APAC operations, without regard to conflict of law principles.
